1. Acceptance of Terms

By accessing or using the website sirui.autos and any services provided by Fujian Sirui Information Technology Co., Ltd. (福建思锐信息技术有限公司), referred to herein as Si Rui, we, us, or our, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you must not access the website or use our services. These terms apply to all visitors, clients, and others who access or use our services.

2. Description of Services

Si Rui provides computer systems design services, including but not limited to systems architecture consulting, custom software development, cloud migration and DevOps engineering, data engineering and analytics, and IT strategy advisory. The scope, deliverables, timeline, and fees for any specific engagement will be defined in a separate written agreement, statement of work, or proposal signed by both parties. These Terms of Service govern your use of our website and serve as the general framework for our service relationships.

3. Intellectual Property Rights

All content on this website, including text, graphics, logos, icons, images, and software, is the property of Si Rui or its content suppliers and is protected by Chinese and international intellectual property laws. The Si Rui name, logo, and all related branding are trademarks of Fujian Sirui Information Technology Co., Ltd. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our express prior written consent.

For custom development engagements, intellectual property ownership of deliverables will be specified in the applicable project agreement. Unless otherwise agreed in writing, Si Rui retains ownership of its pre-existing tools, libraries, methodologies, and know-how.

4. Client Obligations

When engaging our services, you agree to:

  • Provide accurate, complete, and timely information necessary for us to perform the agreed services.
  • Cooperate reasonably with our team, including making appropriate personnel available for meetings and reviews.
  • Ensure you have all necessary rights, licenses, and permissions for any materials, data, or content you provide to us.
  • Use our deliverables and services in compliance with all applicable laws and regulations.
  • Maintain the confidentiality of any non-public information shared during the engagement.

5. Fees and Payment

Fees for our services are specified in individual project agreements or statements of work. Unless otherwise stated, all fees are quoted in United States Dollars (USD) and are exclusive of applicable taxes. Payment terms, including invoicing schedules and due dates, will be specified in the project agreement. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Si Rui reserves the right to suspend work if payment is past due beyond the agreed terms.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Fujian Sirui Information Technology Co., Ltd. and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of our website or services, whether based on contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to Si Rui in the twelve months preceding the event giving rise to the claim.

7. Disclaimer of Warranties

Our website and services are provided on an as is and as available basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Si Rui disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

8. Confidentiality

Both parties agree to hold in confidence all non-public information disclosed by the other party during the course of our engagement. Confidential information includes but is not limited to business plans, technical specifications, source code, financial data, client lists, and proprietary methodologies. This obligation survives the termination of our agreement for a period of three years. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.

9. Termination

Either party may terminate a project agreement upon written notice if the other party materially breaches the agreement and fails to cure such breach within thirty days of receiving written notice. Upon termination, the client shall pay Si Rui for all work completed up to the date of termination, along with any non-cancellable expenses incurred. Provisions concerning intellectual property, confidentiality, limitation of liability, and payment obligations shall survive termination. Si Rui reserves the right to terminate access to our website for any user who violates these Terms of Service.

10. Governing Law and Contact

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Fuzhou, Fujian Province, China.
